There are risks with any financial product or service, and if this results in you borrowing money you need to ensure you do so within your means and that you will be able to make the requirement payments. 1. THESE TERMS AND CONDITIONS

1.1 Please read these Terms and Conditions carefully, as they will be legally binding on you when you use the Appro Services. If you do not agree to these Terms and Conditions, you must immediately discontinue your use of the Appro Services.

1.2 In these Terms and Conditions, “you” and “your” refer to a person who applies for, uses or accesses the Appro Services, and “we,” “our,” and “us” refer to Appro, a business which is owned and operated by Appro Onboarding Solutions FZ-LLC. All capitalised words found in these Terms and Conditions, are defined in the definitions section at the end of this document.

1.3 If you are accessing the Appro Services through the Mobile App, then please note that while these Terms and Conditions shall apply to such use, there may be additional terms (such as the terms imposed by App Store (iOS), Android’s (Google) Play Store, Microsoft’s store, from time to time), which will govern the use of the Mobile App. These additional terms, to the extent applicable, are deemed to be incorporated in these Terms and Conditions by way of reference and will be made available to you when downloading and/or utilising the Mobile App.

1.4 We reserve the right at any time, at our sole discretion, to change or otherwise modify these Terms and Conditions. When this happens we will give you prior notice. Your continued access or use of the Appro Services signifies your acceptance of our updated or modified Terms and Conditions as notified to you. It is strongly recommended that you return to this page periodically and review the latest version of the Terms and Conditions which are in force.

2. THE APPRPO SERVICES

2.1 Appro is an online Platform which enables you to search, compare and apply for certain financial products and services that are offered by third party Service Providers. If you are a Service Provider, the Appro Platform allows you to offer your products and services to other users of the Platform.

2.2 Appro does not intend to sell, offer or provide, and is neither authorised nor licensed to sell, offer or provide, any financial products or services to you, as such Appro is not regulated by the United Arab Emirates Central Bank. Appro simply acts as an intermediary to connect you with a Service Provider, which can provide you with financial products and/or services.

2.3 Once you create an Account, you will be asked to upload certain data and information to the Platform, and answer questions relating to the products and/or services you require. We will then assess your data and information, and if you qualify for the products and/or services you have selected, we will match you with certain Service Providers, and send your data and information to those Service Providers. However, if we are of the opinion that you do not qualify for the products and/or services you have selected, we will notify you via the Platform.

2.4 Once we send your data and information to the selected Service Provider, the Service Provider will then conduct a further assessment on the information they have received and decide whether or not to provide you with an in-principle approval for the product and/or service you have applied for. If you are successful, the Service Provider will issue an in-principle approval via the Platform, which you may choose to accept or reject. If your application is unsuccessful, you will be notified of the decision, and the reason of the decision, via the Platform.

2.5 Please note that your acceptance of the in-principle approval is not confirmation that the Service Provider will offer their products and/or services to you. Once you accept the inprinciple offer, the Service Provider will then contact you directly regarding the product and/or services. It is in the Service Provider’s sole discretion whether or not to issue you with a binding offer letter confirming the provision of the products and/or services.

2.6 The details of the products and/or services which are displayed on the Appro Platform are provided by third parties. Although we will use our best efforts to ensure that we will not provide any inaccurate information on the Platform, we do not have full control over such information. As such, please ensure that you read and fully understand the terms stated in any further correspondence you receive from the Service Provider, before accepting any offer.

2.7 Please note that Appro is not a financial advisory service, as such you should always check the suitability of the product and/or service that you are applying for, to ensure it meets your needs. You should also obtain independent professional advice if you are in any doubt as to the suitability of any product and/or service offered on the Platform.

2.8 You hereby agree and accept that Appro will not be a party to any agreement(s) entered into or executed between you and any Service Provider, or such other third party who uses the Appro Platform. Further, you agree that Appro has no control over the conduct of any Service Provider or any other third party and disclaims any and all liability whatsoever arising in this regard to the maximum extent permitted by applicable law.

3. REGISTRATION AND USE OF THE WEBSITE

3.1 The Website and Mobile App are freely accessible currently, however, prior to availing any of the Services to you, you will have to register on the Website or Mobile App and create an Account.

3.2 Upon registration for the Appro Services, a “one-time password” (OTP) will be sent to your mobile number and a verification email will be sent to the valid email address provided by you. You will need to (i) enter the OTP for validating your mobile number; and (ii) verify the email for validating your email address, to activate and access your Account. Once activated, you can use your mobile number together with your password to access the Services and it will remain active until terminated in accordance with these Terms and Conditions.

3.3 You will also be required to submit supporting documents as requested by us in order for us to verify your identity and provide the relevant Services to you, including but not limited to your identification card, passport (or other government issued identity proof), bank statements of specific duration, documents to prove your residential address and photos. You hereby expressly authorise us to utilise, store and/or process such documents and/or information shared by you for the purposes set out in these Terms and Conditions and the Privacy Notice.

3.4 To the extent permitted under applicable laws, we will also collect documents and information pertaining to you from the records maintained with United Arab Emirates Credit Bureau and such governmental authorities which are required as part of the User Verification process. By agreeing to abide by these Terms and Conditions, you irrevocably consent to us disclosing your information to the aforesaid credit bureau(s) and such other government authorities.

3.5 Further details of the information and/or documents that we collect and the manner in which we use the information and/or documents are detailed in our Privacy Notice available on our Website. If these Terms and Conditions, read in conjunction with our Privacy Notice, are not acceptable to you please do not provide any of your information to us. However please note that in such event, we may not be able to provide you with the Services or some parts of it, as may be applicable.

3.6 The information and/or documents requested by us are not an exhaustive list of requirements and we reserve the right to request and/or extract additional information and/or documents from you or any third party as may be deemed necessary by us in our sole discretion, to complete User Verification.

3.7 In the event the information and/or documents submitted for creating Account, or for availing the Services, are incomplete or inconsistent, we will request additional information and/or documents from you. In case the discrepancies remain unresolved or if we are unable to successfully complete the User Verification process in accordance with our policies, we shall have the right to reject your request for registering for the Services. In any event, please note that we reserve the absolute discretion to accept or reject your request for creating an Account, without disclosing any reason for the same.

3.8 By registering and creating an Account, you certify that:

(a) you are 18 years old or above;

(b) you have created the Account for your own personal use and that the information and documents you provide to us are your own details and not that of any other person;

(c) all information that you provide to us at any time is true, complete and accurate and such information is supported by the submission of genuine and valid documentation.

You further confirm that you will keep all such information and documents current, complete, accurate and valid at all times for as long as your Account remains valid. You can log in to your Account to review and modify any changed details. You may be required to submit documentary proof as required by us from time to time to authenticate the modified details and may not be able to use the Services until verification of the changed details is successfully completed by us. You hereby agree that you will indemnify us for any loss, damage, claim, action, costs, charges and expenses which we may suffer or incur as a result of acting on, or relying on the information and/or documents provided by you;

(d) you will be responsible for safeguarding the security and confidentiality of your Account and password and you will not share, assign or transfer your Account or reveal your password to any third party or do anything else that might jeopardise the security of your Account; and that you will be solely responsible and liable for all actions and/or instructions initiated using your Account. Please note that you may be held liable for losses incurred by us or any other User due to authorised or unauthorised use of your Account as a result of your failure in keeping your Account information secure and confidential and/or not promptly notifying us in the event of any beach of security. You must notify us immediately if you become aware of or have reasonable suspicion that there is any breach of security, loss, theft or unauthorized use of the password or your Account;

(e) you will not create more than one Account;

(f) you will comply at all times with all applicable laws and regulations, and in particular, anti-corruption, any-bribery laws and regulations; and

(g) you understand that we may reject your application for an Account, or after an Account is created, suspend or terminate your Account or your use of the Services at any time without notice, if we suspect that any information, documents and/or authorisation that you have provided are untrue, inaccurate, not current, or incomplete or if you are found to be in breach of any of these Terms and Conditions.

4. FEES AND CHARGES

4.1 We shall be entitled to impose fees and charges for the Services that you subscribe to. We will deduct the applicable fees and charges from your Account when you use the Services or in such other manner as communicated to you from time to time. The fees as applicable from time to time shall be detailed on our Website and Mobile App, or as communicated to you from time to time including by way of email.

4.2 The fees and charges paid to us are non-refundable and our records on the fees to be paid shall be final and binding.

5. COMMUNICATION

5.1 By accepting these Terms and Conditions, you hereby request and expressly authorise us and our employees and/or agents to communicate with you, and accept instructions from you or with your approval, (i) over the telephone by SMS or phone calls at the number you provide to us (ii) by email at the email address you provide to us; (iii) in writing (including through documents uploaded by you through your Account or otherwise); and/or (iv) any other mode and form as may be determined appropriate by us from time to time.

5.2 You hereby consent to us, at our sole discretion, recording all telephone calls between you and our representative for any purpose whatsoever, however subject to applicable laws, and any such records of held by us shall be conclusive and binding evidence of the fact and content of such communication.

5.3 It is your responsibility to immediately notify us of any change in your email address or telephone number. You hereby confirm that instructions and/or approval so provided by you will be valid, effective and binding on you without any further enquiry or due diligence as to identity of the person purporting to give such instruction and/or approval. We may, in our sole discretion, seek further confirmation of any instruction and/or approval given or purporting to originate from you.

6. PERMITTED USE OF APPRO WEBSITE AND MOBILE APP

6.1 You may use the Website and Mobile App solely for your own use and subject to these Terms and Conditions.

6.2 All content, data, design, information or other materials available on and underlying the Website and Mobile App (collectively “Content”), including but not limited to software underlying the Website and App or which are required for accessing or using the Website or App, images, text, layouts, arrangements, displays, illustrations, photographs, graphics, audio and video clips, HTML files and other content, logos, trademarks that may be used on the Website and Mobile App are the property of Appro and/or its licensors and are protected by copyright and/or other applicable intellectual property right laws.

6.3 You are not permitted to copy, reproduce, scrap, publish, perform, communicate to the public in any manner whatsoever, transmit, sell, license, distribute or transfer in any manner whatsoever, adapt, modify, translate, disassemble, decompile or reverse engineer, create derivative works from, or in any way use or exploit the Website, the Mobile App, the Content or any part thereof. You shall not remove or obliterate any copyright, trademark or proprietary rights notices from the Content or the Website or Mobile App and shall reproduce all such notices on all authorised copies of the Content. Any use of the Website, the Mobile App and/or Content in violation of these Terms and Conditions may violate copyright, trademark and other applicable laws, and could result in appropriate legal action.

7. REPRESENTATIONS AND WARRANTIES

You represent and warrant that you will:

(a) not use the Appro Services, Website or Mobile App for any illegal or unauthorised purpose or in a manner that could damage or cause risk to our business, reputation, employees, customers of Appro or any third party;

(b) not do any act which will cause you or another party to breach these Terms and Conditions;

(c) not introduce into or through the Website or Mobile App any computer virus, ‘Trojan horse’, worm, logic bomb, malware or anything similar the purpose of which is to disable a computer or network or adversely affect its performance;

(d) use the latest virus scanning software and take other reasonable precautions in respect of the security of your device when accessing or using the Website or the Mobile App;

(e) not infringe our or any third party’s intellectual property rights; and

(f) cooperate in any investigation conducted by us in relation to the Appro Services or any breach of these Terms and Conditions.

8. DISCLAIMER OF WARRANTIES

8.1 The Content, the Appro Services and any correspondence from us to you does not constitute advice in any form and should not be relied upon by you when you make a decision in relation to any products and services offered as part of the Appro Services.

8.2 WE PROVIDE THE APPRO SERVICES, OUR CONTENT, AND ALL CONTENT AND MATERIALS AVAILABLE THROUGH THE WEBSITE AND MOBILE APP “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED. APPRO, ON BEHALF OF ITSELF, ITS AFFILIATES AND ITS LICENSORS, DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE APPRO SERVICES, OUR CONTENT, OR THE WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, QUALITY, ACCURACY, TITLE AND NON-INFRINGEMENT AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE. FURTHER THE CURRENT VERSION OF PLATFORM MAY BE SUSCEPTIBLE TO BUGS AND GLITCHES

9. LIMITATION OF LIABILITY

WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OR DAMAGE (INCLDUING SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) ARISING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THE APPRO SERVICES, OUR CONTENT, OR USE OF THE WEBSITE OR MOBILE APP.

10. INDEMNITY

You will defend, indemnify, and hold us harmless from and against any and all claims, losses, expenses, demands, or liabilities, including attorneys’ fees and costs, incurred by us in connection with any claim by a third party arising out of or in any way related to: (1) your use of the Appro Services, our Content or the Website or Mobile App; (2) your violation or alleged violation of these Terms and Conditions or your violation or alleged violation of any applicable law; or (3) your infringement or alleged infringement of any intellectual property or other right of any other person or entity. You must not settle any such claim or matter without our prior written consent. We reserve the right, at their own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you further agree that you will cooperate fully in the defense of any such claims.

11. TERMINATION AND EXPIRY

11.1 These Terms and Conditions are binding on you from the time you access the Website, use the Mobile App and/or apply for the Appro Services and will continue in full force and effect until terminated in accordance with these Terms and Conditions.

11.2 We may terminate these Terms and Conditions and de-activate your Account immediately by notice to you at your email address registered with us in the event that you are in breach of these Terms and Conditions.

11.3 In addition, we may also terminate these Terms and Conditions and de-activate your Account for any reason by giving you 7 (seven) days’ notice or such other appropriate time period, addressed to your email address registered with us. Any applications you have which are pending at the time of termination will be cancelled.

11.4 Upon termination, your right and license to access and/or use the Website, Mobile App or our obligation to avail the Appro Services immediately ceases and your Account will be deactivated. 11.5. Upon the termination of your Account, all undisputed amounts in your Account (if any) will be returned to you.

12. COLLECTION, USE AND DISCLOSURE OF YOUR INFORMATION

12.1 You consent to, and shall procure that all relevant individuals whose information has been disclosed to us by or through you (collectively “Relevant Individuals”) consent to, our officers, employees, agents and advisers collecting, using or disclosing such information relating to you (and the Relevant Individuals) including details of the your account information to any third party solely for the purpose of providing you with the Services and as set out in our Privacy Notice, or as is otherwise required or permitted in accordance with applicable law.

12.2 Without affecting the generality of clause 12.1, you hereby acknowledge, agree and consent to the disclosure of your information to (i) the United Arab Emirates credit bureau, and allow us to make enquires and receive further information about you from the United Arab Emirates credit bureau; and (ii) any Service Providers, at our sole and absolute discretion.

13. GENERAL PROVISIONS

13.1 Complaints and Customer Service

13.2 Sub-contracting and Assignment

(a) You acknowledge that, to the extent permitted by law, we may assign, sub-contract, delegate or otherwise transfer the benefit of these Terms and Conditions or any of our obligations under them to another party without your consent.

(b) You cannot assign or otherwise transfer these Terms and Conditions, the Appro Services or any rights hereunder to any third party.

13.3 Force Majeure

We shall not be liable for any failure or delay to perform any of its obligations if such performance is prevented, hindered or delayed, in part or entirely, by any event beyond the our reasonable control, including without limitation, fire, flood, explosion, acts of god, terrorist acts, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, acts of third parties beyond our reasonable control, security breaches, power shut down, faults or failures in telecommunication or internet services or unauthorised access to computer systems.

13.4 Governing Law

This Agreement shall be construed, interpreted and applied in accordance with, and shall be governed by, the laws the Emirate of Dubai and (to the extent applicable in the Emirate of Dubai) the laws of the United Arab Emirates and the courts of Dubai shall have exclusive jurisdiction to entertain any dispute or suit arising out of or in relation to this Agreement.

14. DEFINITIONS SECTION

Account means the account created by you on the Website or Mobile App in order to use the Appro Services.

Appro Services means the services as described in clause 2, which may be amended, changed or expanded from time to time, and the use of the Website and/or Mobile App as a user who is applying for the Service or a Service Provider who is providing a product and/or service.

Mobile App means the mobile application belonging to us which is developed and designed to run on various mobile operating systems, in order to provide the Appro Services.

Platform means the digital platform which currently is in testing stage and accessible to a closed set of users operated and maintained by Appro, the front-end version of which is accessible through the Website and Mobile App.

Privacy Notice means the Appro privacy notice found on our Website the terms of which are incorporated into these Terms and Conditions.

Terms and Conditions mean these terms and conditions which incorporate our Privacy Notice and such third-party terms and conditions which are necessary for the provision of the Appro Services, Website or Mobile App (all as amended from time to time).

Service Providers means service providers including banks, financial institutions, non-bank financial institutions,sellers, service providers, insurers and logistics providers who are onboarded on the Appro Platform from time to time to provide certain products and services.

User Verification means the process followed by us to determine your identity and eligibility so that we can avail the Appro Services to you.

Website means the domain at Appro.ae.
